Board of Directors is an obligatory statutory body in a joint-stock company.

Members of the Board of Directors are elected and dismissed by the General Meeting. The Board has „residual powers“; the powers not entrusted to another body belong to the Board: most importantly the company's management (including decision-making on strategic issues, financial management, marketing, etc.). As a statutory body, the Board of Directors has the authority to represent the joint stock company externally. The Board of Directors also convenes the General Meeting and places items on agenda at the request of qualified shareholders.
