Memorandum of Association

Memorandum of Association is a obligatory document that needs to be signed and must contain certain information about the company that is being started.

In capital companies it has the form of a public document – typically notarial deed. Memorandum of Association must be signed by all founders. If there is only one proprietor (founder), this document is called Deed of Association. Memorandum determines all important aspects regarding the company that is being established; the content is determined by law, further details on Memorandum of Association.

Articles of Association

Unlike Memorandum, Articles are only compulsory for setting up a joint-stock company. It specifies further details on the basic provisions of the Memorandum. It deals with information according to § 250 Act No. 90/2012, Corporations Code; for example the share price of the securities issued to pay up the capital, or the information on which type of management was chosen.
